Terms of Use – Stocklist

These Terms of Use (Terms) govern access to and use of the web-based service "Stocklist", including all features, tools, and associated documentation (collectively, the Service) made available by Trigg Networks Pty Ltd (we, us, our).

By accessing or using the Service, you (User) agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Access Rights

We grant you a non-exclusive, non-transferable, revocable right to access and use the Service solely:

- For internal business purposes; and
- In accordance with any commercial agreement between us and the organisation through which you have been granted access (Subscriber Organisation).

You are responsible for ensuring that your use complies with all applicable policies and authorisations from the Subscriber Organisation.

By accessing the Service, you represent and warrant that you have the authority to bind the Subscriber Organisation to these Terms, where applicable.

2. User Responsibilities

You must not:

- Share your login credentials or allow unauthorised users to access the Service;
- Copy, reproduce, modify, translate, adapt, or create derivative works of any part of the Service;
- Reverse-engineer, decompile, disassemble, or attempt to extract the Service's source code;
- Circumvent security, access restrictions, or usage limitations;
- Use the Service for any unlawful or unauthorised purpose;
- Remove or obscure any copyright, branding, or proprietary notices.

You are responsible for all activity under your account.

3. Intellectual Property

All content, functionality, and intellectual property relating to the Service are and remain the exclusive property of Trigg Networks Pty Ltd. These Terms do not grant any ownership rights.
All rights not expressly granted are reserved.

4. Non-Purchasing Users

If you are using the Service under a licence held by your employer or another third party (Subscriber Organisation), you are still personally bound by these Terms as a condition of access.

5. Availability and Support

We strive to ensure continuous availability of the Service, but make no guarantees regarding uptime or performance.
Any support or assistance provided is at our discretion and may be subject to a separate agreement.

6. Disclaimers and No Warranties

The Service is provided "as is" and without warranties of any kind. We make no representations or warranties about suitability, reliability, security, or availability of the Service for any particular purpose.

To the extent permitted by law, we exclude all warranties, whether express or implied.

7. Limitation of Liability

To the fullest extent permitted by law, Trigg Networks Pty Ltd is not liable for any indirect, incidental, special, or consequential loss or damage, including loss of data, revenue, or business opportunities.

Our total liability arising out of or in connection with your use of the Service is limited to the amount paid by the Subscriber Organisation (if any) for your access to the Service in the 12 months preceding the claim.

8. Termination

We may suspend or terminate your access at any time if:

- You breach these Terms;
- Your Subscriber Organisation's agreement expires or is terminated; or
- We determine that continued access presents a security or legal risk.

Upon termination, you must stop all use of the Service.

9. Governing Law

These Terms are governed by the laws of Western Australia, and you submit to the exclusive jurisdiction of its courts for all matters arising out of or relating to these Terms.

10. Changes to Terms

We may amend these Terms from time to time. If material changes are made, we will provide reasonable notice via email or through the Service. Continued use after changes take effect constitutes your acceptance of the revised Terms.

11. Data and Privacy

You acknowledge and agree that any data input into the Service remains the property of the Subscriber Organisation. You are responsible for ensuring that appropriate backups are maintained.
We process data in accordance with our Privacy Policy, available at https://tri.gg/legal, which forms part of these Terms by reference.

12. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including natural disasters, telecommunications failures, third-party hosting outages, or changes in law or regulation.

13. Confidentiality

You acknowledge and agree that the Service may display, contain, or make accessible commercial, financial, or operational information that is confidential or commercially sensitive to Trigg Networks Pty Ltd and/or the Subscriber Organisation. You must treat all such information as strictly confidential and must not disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of your access to the Service.
